1. Definitions
"Company" means Duppa Engineering LTD. "Customer" means the person or organisation purchasing goods or services. "Goods" means any products fabricated or supplied by the Company. "Services" means any work carried out by the Company including fabrication, welding, finishing and installation.
2. Orders and Acceptance
2.1 All orders are subject to acceptance by the Company in writing. A purchase order, email confirmation or signed quotation constitutes an order.
2.2 The Company reserves the right to refuse any order without providing a reason.
2.3 Any quotation provided by the Company is valid for 30 days from the date of issue unless otherwise stated. After this period the Company reserves the right to requote.
2.4 The Customer is responsible for ensuring all specifications, dimensions and requirements are correct at the time of ordering. The Company accepts no liability for errors resulting from incorrect information provided by the Customer.
3. Pricing
3.1 All prices are quoted exclusive of VAT unless otherwise stated.
3.2 The Company reserves the right to adjust prices to reflect any increase in material costs, labour costs or other expenses that occur between the date of quotation and the date of delivery.
3.3 Any additional work requested by the Customer beyond the original agreed scope will be charged at the Company's standard rates and invoiced separately.
4. Payment Terms
4.1 Unless a credit account has been agreed in writing payment is due in full prior to commencement of work or on collection of goods.
4.2 Credit account customers must pay within 30 days of the invoice date unless otherwise agreed in writing.
4.3 The Company reserves the right to require a deposit of up to 50% of the total order value before commencing work on bespoke or high value orders.
4.4 Payment should be made by bank transfer to the account details shown on the invoice. The Customer should use the invoice number as the payment reference.
4.5 The Company reserves the right to withhold delivery of goods until full payment has been received.
5. Late Payment
5.1 In the event of late payment the Company reserves the right to charge statutory interest at 8% above the Bank of England base rate per annum under the Late Payment of Commercial Debts (Interest) Act 1998.
5.2 The Company reserves the right to charge a fixed debt recovery fee in accordance with the Late Payment of Commercial Debts Regulations 2002:

£40 for debts up to £999.99

£70 for debts between £1,000 and £9,999.99

£100 for debts of £10,000 or more
5.3 The Company reserves the right to suspend work on all outstanding orders if payment becomes overdue until the outstanding balance is settled in full.
5.4 The Company reserves the right to refer overdue accounts to a debt collection agency or take legal action to recover outstanding amounts. Any costs incurred in recovering the debt will be charged to the Customer.
6. Delivery
6.1 Delivery dates provided by the Company are estimates only and time is not of the essence unless expressly agreed in writing.
6.2 The Company will not be liable for any loss or damage arising from delays in delivery caused by circumstances beyond its reasonable control including but not limited to material shortages, supplier delays, weather or industrial action.
6.3 Risk in the goods passes to the Customer upon delivery or collection. The Customer must inspect goods on receipt and notify the Company of any damage or discrepancy within 48 hours.
6.4 Delivery charges will be agreed at the time of quotation and added to the invoice. The Company reserves the right to charge for redelivery if the Customer is unavailable at the agreed delivery time.
7. Retention of Title
7.1 All goods supplied by the Company remain the property of Duppa Engineering LTD until payment has been received in full.
7.2 Until ownership passes to the Customer the Customer must store the goods separately, clearly identified as the property of Duppa Engineering LTD and must not dispose of or encumber them in any way.
7.3 The Company reserves the right to recover goods for which payment has not been received and the Customer grants the Company the right to enter its premises for this purpose.
8. Returns and Cancellations
8.1 Bespoke and custom fabricated goods cannot be returned or cancelled once work has commenced unless agreed in writing by the Company.
8.2 If a Customer cancels an order after work has commenced the Company reserves the right to charge for all work completed to date plus any materials purchased for the order.
8.3 Standard stock items may be returned within 14 days of delivery in unused and original condition subject to a restocking charge of 15%.
9. Warranties and Liability
9.1 The Company warrants that all goods will be fabricated to the agreed specification using reasonable skill and care.
9.2 Any defects in workmanship must be reported to the Company within 14 days of delivery. The Company's liability is limited to repair or replacement of defective goods at its discretion.
9.3 The Company accepts no liability for defects arising from incorrect specifications provided by the Customer, misuse, modification or normal wear and tear.
9.4 The Company's total liability to the Customer shall not exceed the value of the invoice to which the claim relates.
9.5 The Company accepts no liability for any indirect, consequential or economic loss howsoever arising.
10. Intellectual Property
10.1 All designs, drawings and specifications created by the Company remain the intellectual property of Duppa Engineering LTD unless expressly agreed otherwise in writing.
10.2 The Customer grants the Company the right to use images of completed work for marketing purposes including website, social media and promotional materials unless the Customer requests otherwise in writing.
11. Force Majeure
The Company shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond its reasonable control including but not limited to acts of God, pandemic, fire, flood, war, government action, material shortages or supplier failure.
12. Data Protection
The Company will process Customer data in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018. Customer data will be used solely for the purposes of fulfilling orders, managing accounts and communicating about services.
13. Governing Law
These terms and conditions are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Variation
The Company reserves the right to amend these terms and conditions at any time. The current version will always be available on request. Continued trading with the Company following notification of any changes constitutes acceptance of the revised terms.
15. Entire Agreement
These terms and conditions together with any quotation or order acknowledgement constitute the entire agreement between the Company and the Customer and supersede all previous agreements, representations and understandings.
